ARTICLE 11
The Association members are: founding members (physical or judicial persons); nominal members (senior, junior and judicial persons); associated members (judicial persons).
ARTICLE 12
The founding members are individuals, Romanian or foreign citizens, or judicial persons, that participated at the founding of the Association and are, as such, registered in the documents required for its legal registration. They are 21, according to the Constitutive Act and the present Statute.
ARTICLE 13
The nominal members are persons that carried or are carrying out a professional activity in the aerospace field, or a connected field, and which have earned a scientific or technical qualification, or which, for other reasons, applied for joining the Association. The nominal members, according to their merit, may be granted the title of Member Emeritus, according to the provisions of the Interior Organization Rules.
ARTICLE 14
The Association members may be the persons that impart the Association Statute and act for reaching the objectives for which the Association has been founded. The application of joining the Association must be approved by a simple majority of the Management Council. The quality of Association member is personal an inalienable.
ARTICLE 15
The title of Honorary Member title may be granted to personalities that impart the Association objectives and support its activities, or to other individuals that, through their activity, distinguished through the services rendered to the Association. This title entitles the person that earned it to be part of the General Assembly without the obligation to pay an annual membership fee. The Association members, physical or judicial persons, have the obligation to pay an annual membership fee, in a quantum set annually by the General Assembly. The minimal annual membership fee was set be the Founding Members Assembly, on 02.17.2006, at 30 Euro per year.
ARTICLE 16
For physical and judicial persons, the membership fee is due from the moment of joining the Association.
ARTICLE 17
For obtaining the member quality the following are required: to pay the membership fee according to the present Statute and the Interior Organization Rules; to be of legal adult age, or otherwise (for high school student, etc), to have the written consent of their parents (tutors).
ARTICLE 18
The Association member quality ceases: through voluntary withdrawal (resignation), that must be communicated to the Management Council with a previous notice of at least 15 days; through the decision of the Management Council, in the following situations: shows passivity in reaching the purposes and the objectives of the Association; perpetrates deeds that are contrary to the present Statute, the Constitutive Act, the decisions of the General Assembly, the Management Council, or the law; fails to fulfill his or her membership fee obligations, according to the provisions of this Statute; is part of organization with interests contrary to the Association; in any situation when the Management Council decides that this measure is justified on moral, ethics, equity, fairness, commitment to the purposes of the Association grounds in these cases, the exclusion is in effect from the date of the communication of the Management Council decision excerpt. through death.
ARTICLE 19
The withdrawn or excluded members have no rights on the Association patrimony.
ARTICLE 20
The members of the Association have the following rights: to elect and be elected in the Management Council; to participate in all the Association activities; to propose measures for improving the activity; to inform on the difficulties he or she confronts in carrying on his or her activity; to benefit from support and consultancy in the field related to the objectives set through the Statute; to notify, orally or in writing, on possible offences observed; to represent the Association, based on a written mandate issued by the Management Council, in rapport with physical or judicial persons, Governmental or non-governmental from the country or foreign; to benefit from all the facilities the Association can obtain for its members, as well as the support the Association can offer, according to its objectives; to benefit from the achievements of the Association; The members of the Association have the following duties: to observe the Statute and the decisions of the management bodies of the Association; to pay the membership fee in the quantum and on the deadlines set by the present Statute; to abstain from any action that may be contrary to the purpose and / or objectives of the Association; to avoid prejudicing and damaging the patrimony of the Association; other duties established by the General Assembly or the Management Council.
ARTICLE 21
The governing body of the Association is the General Assembly, formed by all its members. The judicial persons member in the Association are represented in the General Assembly by one delegate each, nominated before each General Assembly meeting.
ARTICLE 22
The attributions of the General Assembly are as follows: established the strategy and the general objectives of the Association; deliberates on the issues in the meeting agenda; approves the income and expenses budget and the accounting balance sheet; elects and revokes the Management Council members; elects and revokes the censor or the members of the Censorship Commission; approves and modifies the membership fee quantum; approves the annual Management Council report; verifies the activity of the Management Council members; approves the admission or exclusion of Association members; decides on suing any member for possible damages to the Association due to his or her fault; decides on the method on the forms of summoning the General Assembly, on the attendance quorum for validating its decisions, as well as on the voting method; approves the modification of the Constitutive Act, and the Statute; exerts any other attributes specified in the law, or the Statute; approves the establishment of Association branches / divisions; approves the dissolution and liquidation of the Association, as well as the destination of the goods remaining after the liquidation; decides in any other issues concerning the Association
ARTICLE 23
All the Association members have equal voting rights in the General Assembly. The General Assembly is summoned at least once per year, by the Management Council or by one quarter of its members. The General Assembly agenda is set by the Management Council.
ARTICLE 24
The decisions of the General Assembly are made according to the Constitutive Act and the enacted legislation.
ARTICLE 25
The Management Council is the executive government body of the Association, formed by at least 3 members, elected by the General Assembly through secret vote from within the members of the Association. The Management Council mandate is of 3 years, and may be renewed for another 3 years period. If a vacancy in the Management Council occurs, the Council may appoint provisional members, a definitive decision the their status being made at the next General Assembly. The mandate of the new member elected in this way expires when the mandate of the replaced member would have expired. The Management Council elects from within its members a President, a Vice-president and a Secretary. The Association is represented in rapport with third parties, the Justice and other authorities by the President of the Management Council, or by the Vice-president, if the President is not available, except for the case when the Council appoints a representative mandated for solving a particular problem. The members of the Management Council are responsible for their activity, in the conditions set forth by the Government Ordinance no 26 / 2000 approved, modified and extended through Law 246 / 2005.
ARTICLE 26
The attributions of the Management Council are: to ensure the operative management of the Association and performs the acts required for its administration; clearly establishes the punishable faults and the respective applicable penalties in a decision project to be approved by the General Assembly; ensures the elaboration of the balance sheet and the income and expenses budget , and subjects those for approval to the General Assembly; presents the previous period activity report, the income and expenses budget execution, the accounting balance sheet, the income and expenses budget project and the Association programs projects to the General Assembly; signs judicial documents on behalf and for the Association; approves the organization chart and the personnel structure of the Association; exerts any other attributes and carries out any other mandates set by the General Assembly.
ARTICLE 27
The Management Council meets once every trimester and is summoned by the President, or by one quarter of its members. For validating its decisions, at least one third of the Management Council members must be present. The Management Council minutes are signed by the President and the Secretary, numbered and archived at the Association headquarters.
ARTICLE 28
The Management Council members may not be remunerated for the granted positions. Only expenses made for the purpose of carrying out mandated activities are accepted. These expenses are approved by a specific decision of the Management Council. The remunerated Association employees / agents may by invited by the President to assist, with consultative vote, at the Management Council meetings.
ARTICLE 29
The Management Council decisions related to purchasing or selling immobile goods required for the purpose of the Association, the mortgaging on buildings, the establishment of real estate guarantees and the obtaining of credit must be approved by the General Assembly. The Management Council decisions related to accepting donations are subject to the General Assembly approval. The Management Council decisions related to purchasing or selling mobile goods required for the Association purpose of over 5000 Euro are subject to the General Assembly approval.
ARTICLE 30
The Censorship Commission is formed by 1 (one) member, appointed by the General Assembly. The Association censor is Adam Victoria, Romanian citizen, born at 24.03.1966 in Alexeni, district Ialomita, address: Urziceni, identified through Identity Card series S.Z., no. 064657, issued by Urziceni Police at 20.03.2003, Numerical Personal Code: 2660324237306, authorized by card no. 12435 from 1996. The Censorship Commission / censor has the following obligations: verifies the way the Association Patrimony is administrated; issues reports and presents them to the General Assembly; may participate to the Management Council meetings, without voting rights; fulfills any other obligations set forth in the Statute or established by the General Assembly.
ARTICLE 31
The Censorship Commission performs the annual inspection, checking the balance before the date of March 10th of the next year.
